Specific scope, deliverables, timelines, and fees for any engagement will be governed by an applicable Statement of Work (SOW), Master Services Agreement (MSA), or service order executed between you (the "Client") and You Source. In the event of a conflict between these Terms and an executed SOW or MSA, the terms of the SOW or MSA shall prevail.
2. Eligibility & Client Responsibilities
To use our Site or engage our Services:
You must be at least 18 years of age and possess the legal authority to enter into binding agreements on behalf of yourself or the entity you represent.
You agree to provide accurate, current, and complete information during intake calls, form submissions, or project onboarding.
You are responsible for ensuring that any source code, data, API keys, credentials, or proprietary material you provide to You Source for review or development does not violate third-party rights or applicable laws.
3. Intellectual Property Rights
A. Our Site Content
All content, branding, logos, graphics, text, and materials available on the Site are the exclusive property of YouSource Inc. or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the Site for informational and evaluation purposes only.
B. Client Deliverables & Code
Unless explicitly agreed otherwise in a separate SOW or MSA:
Client Ownership: Upon full payment of all applicable fees, the Client retains ownership of all custom code, custom software deliverables, and specific workflows developed specifically for the Client.
Pre-Existing Material & Tools: You Source retains ownership of its pre-existing frameworks, developer tooling, proprietary AI prompt libraries, reusable components, and general know-how used in providing the Services.
4. Fees and Payment Terms
Pricing: Fees for Services (e.g., fixed-price Code Audits, monthly Dev On Demand subscriptions, or custom-scoped Automation plans) will be set forth in the relevant service order or invoice.
Payment Terms: Invoices are due according to the payment schedule outlined in your specific agreement.
Late Payments: Failure to pay invoices when due may result in immediate suspension of the Services, withholding of deliverables, or termination of your engagement.
5. Confidentiality & Data Security
Both parties agree to treat all non-public information disclosed during the evaluation or execution of Services—including codebases, trade secrets, business processes, and personal data—as strictly confidential.
You Source implements industry-standard technical and organizational security measures (including GDPR and SOC 2 alignment) to protect Client data. For detailed information on how personal data is collected and processed, please refer to our [Privacy Policy].
6. Disclaimer of Warranties
Site Content: The Site and its general contents are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
Services: While You Source strives for execution excellence and production-grade delivery, we do not warrant that software deliverables will be completely error-free or that uninterrupted operational uptime will be achieved without ongoing maintenance, unless specifically covered under a dedicated Service Level Agreement (SLA).
7. Limitation of Liability
To the maximum extent permitted by applicable law:
Indirect Damages: In no event shall YouSource Inc., its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Cap on Liability: You Source’s total aggregate liability arising out of or related to any Services or use of the Site shall not exceed the total fees paid by the Client to You Source in the three (3) months preceding the event giving rise to the claim.
8. Termination
Site Usage: We reserve the right to suspend or terminate your access to the Site at our sole discretion without notice for violation of these Terms.
Service Engagements: Termination rights for active projects or month-to-month services are governed by the notice periods and terms defined in your specific SOW or agreement.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any dispute or claim arising out of or in connection with these Terms or the Site shall be subject to the exclusive jurisdiction of the competent courts in Makati City, Philippines, unless otherwise stipulated in a signed corporate agreement between the parties.
10. Modifications to Terms
We reserve the right to update or modify these Terms at any time. Changes will become effective immediately upon posting to the Site, with the updated "Last Updated" date noted at the top. Your continued use of the Site or Services following any changes constitutes acceptance of the revised Terms.
